Direct Seller & Referral Partner Agreement

1. Preamble & Nature of Engagement

This Direct Seller & Referral Partner Agreement (“Agreement”) is entered into between Pixmart Digital Solutions Pvt. Ltd. (“Pixmart” or “Company”) and the participating individual (“Direct Seller”, “Referral Partner”, or “Affiliate”).

The Referral Partner acts solely as an independent sales contractor on a principal-to-principal basis. This engagement does NOT create any employment, joint venture, partnership, or agency relationship between the partner and Pixmart.

2. Zero Entry Fee & First-Purchase Prerequisite

In accordance with Rule 5 of the Consumer Protection (Direct Selling) Rules 2021:

• No Registration or Joining Fees: Participation in the referral program is completely free of charge. The Company does NOT charge any enrollment fee, annual membership fee, training fee, or starter kit cost.
• Organic Purchase Unlock: In accordance with Pixmart’s product-centric architecture, referral privileges unlock automatically once a customer completes their first genuine paid product purchase. A user cannot refer others without having experienced and purchased a product.
• No Forced Inventory: Because all products on Pixmart are digital, referral partners are not required to hold, purchase, or maintain physical stock or minimum monthly quotas.

3. Remuneration Structure & Calculation

Remuneration is paid strictly as a sales incentive for promoting genuine consumer purchases of digital courses and templates.

• Three-Tier Structure:
  • Level 1 (Direct Referral): 38% of net product value
  • Level 2 (Second Tier): 8% of net product value
  • Level 3 (Third Tier): 3% of net product value
• GST Deduction Base: Commissions are calculated on the net product sales value, excluding the mandatory 18% GST collected on behalf of the Government of India.
• Zero Recruitment Compensation: No remuneration, reward, or bonus is ever paid for merely introducing or registering a new user. Commissions are generated strictly upon paid product checkouts.

4. 24-Hour Cooling Period & Earning Maturity

To honor consumer cancellation and refund rights, every earned commission enters a mandatory 24-Hour Holding Period from the order timestamp.

During this hold, the entry is visible in your Earning Ledger as “Pending”. Once the 24-hour window passes without a customer refund, the commission automatically matures to “Approved” and is credited to your Available Wallet Balance.

5. Direct Seller Code of Conduct & Marketing Guidelines

Every Referral Partner agrees to strictly adhere to the following code of ethics:

• No Guaranteed Income Claims: You must never represent Pixmart as an “investment opportunity”, “quick-money scheme”, or “guaranteed income model”. All marketing must emphasize the educational and utility value of the courses/assets.
• Accurate Product Representation: Do not misrepresent product contents, curriculum, teacher credentials, or software files.
• Prohibition of Spam & Deceptive Marketing: Referral links must not be distributed via unsolicited bulk SMS, spam emails, unauthorized WhatsApp blasts, or misleading social media advertisements.
• Self-Referral Prohibition: You must not create secondary fake accounts to register under your own referral code to harvest upline commissions. Such activity is categorized as system fraud and results in immediate account forfeiture.

6. Mandatory KYC & Tax Compliance (Section 194H)

Prior to requesting any wallet withdrawal:

• The partner must complete electronic KYC submission: PAN card details, government ID, and active Bank account or UPI details matching the PAN legal name.
• In accordance with Section 194H of the Indian Income Tax Act 1961, 5% Tax Deducted at Source (TDS) will be deducted by the Company on all affiliate payouts and deposited with the Income Tax Department against your PAN.
• The Company will issue quarterly TDS certificates (Form 16A) in accordance with Indian tax rules.

7. Termination & Exit Rights

Either party may terminate this agreement at any time. A partner may choose to stop referring without penalty. The Company reserves the right to suspend or terminate partner privileges immediately if the partner is found violating the Code of Conduct, making deceptive income claims, or engaging in system fraud.
